ABOUT THE JOB The Chief Legal Counsel (CLC) - IP & Corporate will be responsible for overseeing Air Protein's legal function as the top in-house legal executive owning intellectual property (IP) strategy and filings. This position will lead Air Protein's corporate legal function and play an instrumental role in Air Protein's IPO readiness phase of the company's life cycle. The CLC will manage and direct general corporate matters, including corporate organization, securities compliance, general transaction support, license agreements, employment law, regulatory matters, risk management, financing activities, and general contract management. The majority of the position will be providing Air Protein's strategic vision addressing current and future IP and work in partnership with other senior leaders to develop and implement overall strategic directives. The CLC will be able to clearly articulate Air Protein's IP strategy, responsible for the Air Protein's IP affairs, including client counseling, litigation, licensing and other complex business transactions, patent drafting, prosecution and enforcement, publication review, due diligence, trademark matters, and opinion work. The CLC will be an integral strategic working partner with Air Protein's research and development organizations, strategic business units, and corporate counsel, and will eventually supervise Air Protein's in-house legal team. The CLC will also be responsible for fostering career development of the future in-house team and managing relationships with outside counsel. The CLC will be a member of Air Protein's Executive Team and will be responsible for advising the CEO, members of the executive leadership team and the Board of Directors on various critical legal and business matters. This role is 100% remote and can be located anywhere in the US. The CLC will have a domain expertise and be responsible for:
Advising executive team members on new and existing laws that would affect Air Protein's business. Supporting corporate governance issues, corporate and commercial contracting activities, compliance activities, and corporate secretarial duties. Provide In-house biotech, pharma, food science industry experience Establish the Legal function & build out a team of attorneys (internal / external) alongside the CEO Maintain knowledge of the company's legal documents and operations Work closely with key stakeholders and clients regarding all things Legal Identify & develop processes that will maximize efficiency of the company & Legal function Understanding of, and experience with the applicable regulatory framework Advise leadership on corporate governance and equity fundraising, including board meetings, stock administration, business conduct, M&A activities, and other policy matters. Great negotiating skill, ability to prioritize, handle multiple tasks and work independently under tight deadlines Ability to communicate effectively verbally and in writing in both individual and group settings Ability to work calmly under pressure, manage a significant number of projects simultaneously and to thrive in a dynamic and fast paced environment Expertise in working cross-functionally Collaborate cross-functionally with marketing, business development, product & engineering teams regularly ABOUT YOU Undergraduate or graduate STEM Degree required. JD, a member in good standing of a state bar, must be able to practice law in California. 10
years of hybrid IP & Corporate counsel experience working in the Biotechnology, Food Science or Pharmaceutical industries. Preferred Preferably a PhD in chemistry, biology, biochemistry, or another technical field relevant to the Biotechnology, Food Science or Pharmaceutical industries. Startup experience preferred Past General Counsel or CLC/CLO.
Salary Range:
$250K -- $500K+

Legal & RegulatoryEstimated Salary: $20 to $28 per hour based on qualifications.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
